South Korea's SK Hynix is launching a major Nasdaq American Depositary Receipt (ADR) listing expected to raise about $28 billion, opening easier access for US investors to one of the biggest beneficiaries of the AI memory-chip boom. The deal will offer 17.79 million new shares, with ten ADRs representing one common share, and a price range tied to the company's Seoul trading level.
The move comes as SK Hynix's stock has surged about 273% year-to-date amid strong global demand for DRAM and other memory chips used in AI systems. On the day of the announcement the Seoul share price was reported at 2,327,000 won, down roughly 4% intraday, while Korea's KOSPI index fell about 2.2%. Despite short-term volatility, the listing aims to remove an accessibility discount for US institutions that previously found it difficult to own SK Hynix directly.
'This is more than a liquidity event,' said Dave Mazza, CEO of Roundhill Investments, which manages an ETF tracking DRAM manufacturers. 'SK Hynix has been one of the most important companies in the world that most U.S. institutions could not easily own.' The ADR listing is expected to set its price range prior to the roadshow, with the final New York offering price due Thursday and trading scheduled to begin on Friday. Company management will meet global investors on a roadshow this week.
Proceeds from the ADR sale will be used to expand chip factories in South Korea and buy advanced chipmaking equipment, including extreme ultraviolet (EUV) scanners from Dutch supplier ASML. Those investments target long-term capacity for AI-grade memory and other high-performance semiconductors as global demand intensifies.
The transaction ranks as one of the largest share sales this year, expected to be the second-biggest after SpaceX's record offering. It will surpass landmark deals such as Saudi Aramco's 2019 IPO and Alibaba's 2014 listing in scale. For US investors and the semiconductor sector, SK Hynix's Nasdaq debut marks a major liquidity and accessibility milestone in the AI-driven memory-chip market.
